1. Scope and Parties

1.1 Parties

These terms govern directory listings and sponsorship slots on eualternative.eu ("EU Alternative"), operated by Nineties Engineering OÜ, Sepapaja 6, 15551 Tallinn, Estonia ("we", "us", or "our"). Nineties Engineering OÜ is responsible for providing directory listings and sponsorship placements. In these terms, "you" and "your" refer to the business submitting a listing or booking a paid service.

1.2 Business Customers Only

These terms apply exclusively to businesses acting in a professional or commercial capacity. Sponsorship slots and paid listings are not offered to private individuals (consumers).

2. Sales and Billing

Paid listings and sponsorship placements are arranged by mutual agreement via email. Payment is due in advance in EUR, before the listing is published or the sponsorship campaign starts.

Unless otherwise agreed, sales of paid listings and sponsorship slots are made through Creem, our merchant of record. Creem is the seller and handles payments, invoices, receipts, and applicable transaction taxes.

For billing documents, corrections, or tax questions, contact support@creem.io or use the customer portal in your purchase confirmation. Provide accurate billing details and any applicable VAT or tax ID at checkout.

Purchases through Creem are also subject to Creem's Buyer Terms.

3. Submissions and Directory Listings

3.1 Submission Standards

We reserve the right to accept or decline any listing application or sponsorship request at our sole discretion, without obligation to provide a reason. We will not accept submissions that, in our judgement, are illegal, deceptive, malicious, adult in nature, infringe third-party rights, or are otherwise incompatible with the editorial focus of EU Alternative.

3.2 Directory Eligibility and Removal

The following criteria apply to all directory listings, whether free or paid. A service may be included only if all of these criteria are met:

1. The company operating the service is incorporated in a member state of the European Union.
2. The service offers a viable alternative to a non-EU service or software, and is of sufficient quality and functionality to constitute a realistic alternative.
3. The service complies with applicable European Union law, including data-protection legislation such as the General Data Protection Regulation (GDPR) and the ePrivacy Directive.

Where the company operating the service is a subsidiary, the parent company must meet the same criteria.

We reserve the right to remove a service without prior notice if, in our judgement, it no longer meets these criteria or breaches these terms. Refund conditions for paid listings are set out in section 5.

3.3 Editorial Control

EU Alternative determines the editorial presentation of every listing, including its description, wording, assigned categories, comparison tables, and the pages or contexts in which it appears. Payment of a listing fee does not grant the payer control over that presentation.

Listed parties may submit corrections of factual errors, which we will review at our discretion.

4. Sponsorship Slots

We offer paid sponsorship slots as described on our Advertise page. Sponsorship requests are subject to the submission standards in section 3.1.

You must provide the agreed sponsorship materials, including your logo and text, within 10 days of payment.

4.1 Cancellation

Except for non-delivery as described in section 4.2, sponsorship fees are non-refundable once the campaign has gone live. Cancellation by you before the placement start date may be requested by email and is subject to our discretion.

4.2 Non-Delivery and Refunds

If we decline or cancel a sponsorship booking before it starts, or cannot provide the agreed placement at all, we will refund any sponsorship fee paid in full.

These non-delivery refunds do not apply where the failure to provide the placement results from your failure to supply the agreed materials.

5. Paid Directory Listings

We may charge a one-time fee for inclusion of a service in the directory.

5.1 Removal and Refunds

If we decline or cancel a paid listing before publication, or cannot publish it as agreed, we will refund the listing fee in full, unless you agree with us by email to a revised publication arrangement.

The listing fee is non-refundable if the listing is subsequently removed because it no longer meets the criteria in section 3.2 or breaches these terms.

6. No Performance Guarantees

This section applies to both sponsorship slots and paid directory listings.

Traffic figures shown on the Advertise page reflect the average monthly traffic over a trailing three month period and are provided for indicative purposes only. Actual traffic numbers may vary at any time.

We make no warranty or guarantee as to impressions, clicks, conversions, leads, search-engine visibility, or any other measurable outcome. Fluctuations in audience size or composition are not grounds for a refund.

7. Applicable Law

These terms are subject to the laws of Estonia. The place of jurisdiction for all disputes arising from or in connection with these terms is Tallinn, Estonia.
